1. Introduction
These Terms of Use (“Terms”) constitute a legally binding agreement between Inspiration Factory LLC (“Inspiration Factory”) and each Client (license holder). All Users within a Client’s FlowMagnet instance are also bound by these Terms.
2. Definitions
Client: an organisation or entity that acquires a FlowMagnet licence and operates an instance.
User: any individual authorised by a Client to access and use FlowMagnet.
Client Data: all data, content, or materials provided by Clients or Users.
Merchant of Record (MoR): the independent third-party payment provider that handles billing, invoicing, tax collection, and refunds.
3. Licence Grant
Inspiration Factory grants each Client a limited, non-exclusive, non-transferable licence to use FlowMagnet. Users are granted access solely under the Client’s licence.
4. Responsibilities of Clients and Users
Clients are responsible for the content published in their FlowMagnet instance and for ensuring compliance by their Users. Users must provide accurate registration data, safeguard their credentials, and comply with these Terms.
5. Payments and Subscriptions
All payments are processed exclusively by the MoR. Inspiration Factory does not store or process full payment information. Subscriptions are billed in advance and renew automatically unless cancelled in accordance with the cancellation procedure.
6. Confidentiality
Each party shall treat confidential information of the other as strictly confidential. Clients grant Inspiration Factory a licence to process Client Data solely for the purpose of providing and improving FlowMagnet, including anonymised analysis.
7. Acceptable Use
Clients and Users must not:
infringe intellectual property rights, publish fraudulent or misleading claims, promote pyramid schemes, chain letters, unapproved multi-level marketing structures, or fraudulent affiliate programs, disseminate spam, malware, hate speech, pornography, or violent material.
Inspiration Factory reserves sole discretion to determine what constitutes acceptable or prohibited use.
8. Intellectual Property
All rights to FlowMagnet remain with Inspiration Factory. Clients retain ownership of their Client Data but grant Inspiration Factory the rights necessary to host, process, and transmit such data.
9. Availability
FlowMagnet is provided “as is”. No warranty is given for uninterrupted or error-free service.
10. Termination
Inspiration Factory may suspend or terminate a Client’s licence or a User’s account if these Terms are breached. Clients may cancel subscriptions in accordance with the applicable cancellation procedure.
11. Liability
Inspiration Factory is liable for intent, gross negligence, and personal injury. For simple negligence, liability is limited to essential contractual duties and foreseeable damages. Inspiration Factory is not liable for Client Data or for services provided by the MoR.
12. Copyright Infringement (DMCA)
Inspiration Factory respects intellectual property rights. If you believe content on FlowMagnet infringes your rights, send a notice to contact@inspirationfactory.net with identification of the work, infringing material, your contact details, and a statement of good faith. Upon receipt of a valid notice, we will review and, if necessary, remove the content.
13. Governing Law
These Terms are governed by the laws of Delaware, USA, subject to mandatory consumer protections of the Client’s or User’s residence.
14. Amendments
We may amend these Terms. Updates will be published with effective date. Continued use after publication constitutes acceptance.
